Inspira Global has completed its ₹2,235 crore acquisition of Restaurant Brands Asia, becoming its largest shareholder and ushering in a new leadership phase for the Burger King operator.

Restaurant Brands Asia (RBA), which owns Burger King in India and Burger King and Popeyes in Indonesia, has entered a new phase after Inspira Global completed its ₹2,235 crore acquisition of the company, one of the largest transactions in India’s quick service restaurant (QSR) space.

The acquisition was executed through Inspira Global’s food and beverage platform, Lenexis Foodworks, after the successful completion of the mandatory open offer, receipt of regulatory approvals and fulfilment of customary closing conditions.

Following the completion of the transaction, Inspira Global has a 41.78% stake in Restaurant Brands Asia. The company said the exercise of warrants would lead to an additional equity infusion of ₹450 crore, taking its shareholding to 48.04%.

New Leadership:

The acquisition also sees a change in the company's leadership. Restaurant Brands Asia’s board has approved the appointment of Madhusudan Agrawal as Chairman and Aayush Agrawal as a Non-Executive Director, marking the beginning of a new ownership chapter for the Burger King master franchisee.

“Today marks the beginning of a very exciting new chapter for Restaurant Brands Asia,” said Madhusudan Agrawal, commenting on the development.

The company would focus on strengthening the business through “patient capital, disciplined governance and a long-term perspective”, while continuing to work alongside the existing management team, he said.

Aayush Agrawal said the acquisition is a vote of confidence in India’s long term consumption story and Inspira Global’s aim to build “one of the most admired food service businesses in the region."

Growth Plans:

Restaurant Brands Asia said the proceeds from the transaction will be used to accelerate restaurant expansion, enhance its digital and technology capabilities, improve customer experience and drive operational excellence across its markets.

The company also reiterated its commitment to continue to operate Burger King in India and both Burger King and Popeyes in Indonesia under its existing master franchise agreements with Restaurant Brands International.

The franchise agreements have recently been extended to 2050, giving the business long-term visibility and underpinning its expansion plans in both markets.
