Disney, Viacom18 deal expected to conclude in February

Disney and Viacom18 are finalizing a deal where Disney will sell 60% of its units to Viacom18, with the expected closure of the agreement this month, according to media reports. The media giants signed a non-binding pact in December, setting Reliance to hold 51% and Disney 49%. Valuation and due diligence are anticipated to begin soon, aiming for regulatory approvals by February 2024.

The non-binding agreement was initially signed in London, attended by key figures like Kevin Mayer and Mukesh Ambani's close aide, Manoj Modi. In October 2023, reports surfaced about Disney's cash and stock merger deal with Reliance Industries for its India business. The deal structure was outlined as a 51:49 stock-and-cash merger favoring RIL.
